How to structure an Offer
Generally speaking, an Offer makes use of the triple constraints including Time period, Geography, and Rights. In Vuulr, the commercial component of an Offer is tied directly to the Rights requested in the Offer.
In addition to fixed price, Vuulr allows Buyers (and Sellers when making Counter Offers) the ability to structure commercial offers based on different performance and revenue sharing models. Offers can be structured with a single commercial model, or a combination of multiple models.
This article explains how this feature can be used. There are some terms that you'll need to understand, namely:
Offer CurrencyPrior to setting the Rights Formats and Pricing Models, a currency must be selected. While Offers can be made in many currencies, . United States Dollars is the default currency. All Commercial Groups in an Offer will be represented in the same currency. You cannot, for example, have one Commercial Group in US Dollars, and another Commercial Group in Euros.
The Currency can be changed in subsequent Counter Offers.
Commercial GroupsA Commercial Group brings together the desired Rights Format(s) and a Pricing Model (and pricing terms) for an Offer.
Most Offers will only need one Commercial Group; to that end, a single Commercial Group is created by default when an Offer is initiated.
Note: only one Pricing Model can be selected in a given Commercial Group. If you require two or more Commercial Groups, then simply click ‘Add a Commercial Group’ and enter the next combination or Rights and exclusivity (and Holdbacks).
Having multiple Commercial Groups allows for a more complicated structured Offer. This is useful in cases where multiple exhibiting platforms are involved.
As an example, say a Buyer has a Free to Air channel and an Advertising-supported VOD (A-VOD) platform for which they wish to license a film for. While the Buyer may want to simply offer a fixed price for the entire license (covering both platforms), it may, however, make more sense to structure the offer utilizing two Pricing Models: (1) By Flat Rate, to cover the Free to Air channel, and (2) by one of the performance or revenue-share models for A-VOD platform.
To create a new Commercial Group, at the bottom of the existing Commercial Groups is a button "+ Create New Commercial Group".
